Please review this Governance Charter carefully, as it establishes the rules of the Optio Node Network and outlines your rights and responsibilities as a participant. This Charter also governs the relationships among node operators who validate transactions within the Network.
As a Node Operator in the Optio Node Network, whether as a natural or legal person, your interaction with the Network implies a good faith agreement to abide by this Charter. This agreement encompasses all participants and interactions within the Node Network, governed by the Optio Consortia DAO Agreement.
Should a majority of node owners approve, as determined by the established voting mechanisms, this Charter will dictate the distribution of digital rewards to licensed Optio Nodes and address other governance issues pertinent to the Optio Blockchain.

Applicable Rules to the Node Network
The following documents collectively form the Charter that governs participation in the Optio Node Network. These documents establish the foundational principles and legal framework required for network participation:

- iii. Node License Agreement;
- iv. Optio Parameters; v. Community Guidelines;
- vi. Node Network Governance Framework;
- vii. Node Network Mediation Body.
In cases of conflict between these documents, the order listed above dictates the precedence, with the Optio Consortia DAO Charter (i) being the primary document that supersedes and prevails over all others.
Definitions
Brand: Refers to Optio Consortia DAO.
Consortia DAO: Refers to the Optio Consortia DAO, an open-source blockchain coordination protocol based on open blockchain technology governed by a set of rules, with fluid affiliation through participation as a Node Operator, and that automatically executes certain actions without the need for intermediaries.
Participant(s): Any Node Operator participating in the Node Network using L3 software or Node Network Community Platforms.
Distribution Algorithm: The software code defining the parameters for the distribution of OPTIO digital rewards for the active participation of the Oracles operating within the L2 Network.
Guardian(s): Node Operator(s) eligible to rule upon disputes in the Node Network Mediation Body.
Governance Framework: Refers to the governance processes of the Node Network.
L1 Network: Refers to the blockchain known as “Ethereum,” made available by the owner of the Ethereum trademark, the Ethereum Foundation, used as a layer 1 network by the Node Network.
L2 Network: A distributed network of Validator Nodes that maintain an open bidirectional communication channel between the L2 Network and the L3 Network using a proof-of-authority consensus mechanism.
L2 Network Trust: A purpose trust that ensures the security, maintenance, update, and improvement of the L2 Network.
L3 Technology: The software and accounting layer comprising the source code of the Node Network, the Oracle Network, and the Smart Contracts built on top of the L2 Network.
L3 Technology License: The license granted by Node Governance LLC to Node Operators to use the L3 Technology in relation to their node operating with the L2 Network to effect digital reward distribution.
Node Network: A governance framework constituted by Node Operators that aims at allowing the governance of the Node Network’s tools, features of the Distribution Algorithm, the L3 Network, the infrastructure, and other common resources. Governed by node operators according to the Node Network Parameters and governance process.
Node Network Charter: The entirety of this document, consisting of the human-interpreted rules of the Node Network and subdivided into the following documents:
- Node Network Consortia DAO Agreement: The responsibilities and rights of Node Operators.
- Optio Parameters: The actions and/or oracle activities rewarded by the Node Network.
- Community Guidelines: The norms of behavior between Node Operators and Token Holders.
- Node Network Governance Framework: The process used by Node Operators to govern the Node Network.
- Node Network Mediation Body: The dispute resolution process to solve issues between Node Operators or issues arising with respect to the validation process and/or the Distribution Algorithm.
Node Operators: Refers to the persons or entities that have installed the software to operate nodes facilitating transactions in the L2 Network, either as Validator Node or as Licensed Node.
Optio Node: The standard version of the node software licensed either as a limited time (expiring) license or as a permanent license.
Optio Foundation Node: Node software with enhanced capabilities licensed either as a limited time (expiring) license or as a permanent license.
Optio Foundation Apps: Software applications or smart contracts approved by the Consortia DAO to give rise to actions or action points used within the distribution algorithm.
Optio Blockchain Apps: Software applications or smart contracts developed by any party which interact with Optio Foundation Apps. These do not require approval by the Consortia DAO but may give rise to action points based on their interactions with Optio Foundation Apps.
Optio Foundation Transaction Fees: The portion of any digital coins or tokens designated as transaction fees within Optio Foundation Apps and are earned by and distributed to Node Operators from transactions processed by Optio Foundation Apps.
Optio NFT(s): Non-fungible token or other digital receipt issued to the Oracles as rewards for facilitating Off-Chain data to the L2 Network.
Optio NFT(s) Holder(s): Any entity or person that owns or controls a wallet containing an Optio NFT.
OPTIO Token(s): The native token of the L2 Network, i.e., a transferable utility token allowing to pay for transaction fees on the L2 Network.
OPTIO Token(s) Holder(s): Any entity or person that owns or controls a wallet with a positive balance of OPTIO Tokens.
Optio Trust: Ensures that the intellectual property rights to the source code of Layer 2 made available under an open-source license (GNU GPL v3 license: https://www.gnu.org/licenses/gpl-3.0.fr.html) are respected and entrusted with part of the transaction fees of the L2 Network to ensure its proper maintenance and security.
Node Network Governance Committee: The committee elected by the Node Network to make Proposals with respect to the governance of the Node Network.
Node Network Mediation Body: A dispute resolution mechanism governed by OPTIO Token(s) Holder(s).
Node Network Community Platforms: Platforms used for regular communication by the Node Operators and managed
